Terms of Service
Please read these terms carefully before using our services.
Effective Date: December 3, 2025
These Terms of Service ("Terms") govern your access to and use of the LeadHelpline website, platform, and related services (collectively, the "Services"). The Services are operated by LeadHelpline ("LeadHelpline," "we," "us," or "our"). By accessing or using the Services—including by clicking "Get Started," submitting a form, creating an account, or otherwise indicating agreement—you agree to these Terms.
If you do not agree, do not use the Services.
1) Who These Terms Apply To
The Services may be used by:
- Contractors / Pros: service providers who purchase leads or receive calls ("Contractors").
- Homeowners / Consumers: individuals requesting service or quotes ("Homeowners").
Some sections apply only to Contractors (especially billing and lead rules).
2) Definitions
- "Lead": a service request from a Homeowner that we collect and transmit to one or more Contractors, including via live call transfer, phone call, text, email, dashboard listing, or other delivery method.
- "Exclusive Lead": a Lead that LeadHelpline designates as exclusive (if offered). "Exclusive" means we do not knowingly sell or deliver that same Lead to multiple competing Contractors through LeadHelpline for the same category/issue at the same time. It does not mean the Homeowner did not contact others elsewhere.
- "Live Transfer Lead": a Lead delivered by connecting a Homeowner who is on the phone with a Contractor in real time.
- "Contractor Account": your registered account and dashboard used to configure service categories, zip codes, budgets, and to receive Leads.
3) Eligibility and Authority
You must be at least 18 years old to use the Services. If you use the Services on behalf of a company, you represent you have authority to bind that company to these Terms.
For Contractors, you represent that you (and your business) hold all required licenses, permits, bonding, and insurance for the services you advertise and perform, and that you will maintain them.
4) Account Registration and Security (Contractors)
You are responsible for:
- providing accurate, current information;
- maintaining the confidentiality of your credentials; and
- all activity under your account.
Notify us promptly of any unauthorized use.
5) What LeadHelpline Does (and Does Not Do)
LeadHelpline provides a marketing and connection service that identifies Homeowner requests and routes them to Contractors based on targeting settings (e.g., trade, zip code/city, budget).
You acknowledge:
- We do not guarantee any number of Leads, call duration, conversions, revenue, or job awards.
- We are not a party to any agreement between Homeowners and Contractors.
- We do not supervise, direct, or control Contractor work, pricing, or performance.
- We do not endorse any Contractor. Homeowners choose whether to hire.
6) Contractor Targeting, Budgets, and Control
If you configure zip codes, categories, hours, spend limits, "pause," or other controls, you are responsible for the accuracy of those settings. Lead delivery may be impacted by market supply, timing, routing logic, and technical constraints.
If you do not answer a transferred call or cannot be reached, you may miss Leads and may still incur charges where applicable under these Terms (see Section 8).
7) Homeowner Requests and Consent to Share Information (Homeowners)
By submitting a request through LeadHelpline, you authorize us to share your information (which may include name, contact details, location, and project details) with relevant Contractors so they can contact you about your request. You understand you may receive calls, texts, or emails from Contractors.
You agree to provide accurate information and not submit requests on behalf of someone else without permission.
8) Fees, Pay-Per-Lead Charges, and Billing (Contractors)
8.1 Pricing model
LeadHelpline is commonly offered on a pay-per-lead basis. Prices may vary by trade, geography, lead type (including live transfer), time, and other factors. Your applicable pricing will be presented in your account, proposal, or order flow.
8.2 When you are charged
Unless otherwise stated in writing, you authorize LeadHelpline to charge you when a Lead is delivered to you, which may include:
- a successful live transfer connection to the phone number(s) you provide; and/or
- delivery of lead details to your dashboard, email, SMS, or other designated channel.
8.3 Payment method authorization
You authorize LeadHelpline (and our payment processors) to charge your payment method on file for all amounts due. If your payment method fails, we may suspend lead delivery or access until payment is received.
8.4 Taxes
Fees are exclusive of taxes. You are responsible for any taxes, duties, or similar governmental assessments (except taxes on our income).
8.5 No long-term contracts
Unless you sign a separate written agreement, there are no long-term commitments. You may stop using the Services at any time, but you remain responsible for charges incurred prior to stopping/pausing and for any unpaid balances.
9) Lead Quality, Disputes, and Credits (Contractors)
9.1 General standard
We use verification processes intended to filter spam and improve intent, but Lead quality can vary. Homeowners may change their mind, choose another provider, be unreachable after first contact, or provide incomplete information.
9.2 Disputes / credit requests
If LeadHelpline offers credits or adjustments, they are provided at our discretion unless required by law or a separate written agreement. Typically, credit eligibility (if offered) may be limited to circumstances such as:
- clearly fraudulent/spam submissions;
- wrong trade/category relative to the request;
- materially incorrect location outside your targeted area (based on the information provided at submission); or
- duplicate delivery of the same Lead to you due to our error.
Credit requests must be submitted within the timeframe shown in your dashboard or, if not specified, within a reasonable time after delivery. We may require call recordings, screenshots, or other evidence to investigate.
9.3 Not typically creditable (examples)
Unless required by law or promised in writing, Leads are generally not creditable solely because:
- the Homeowner did not hire you;
- price objections or shopping behavior;
- missed calls, slow response, or poor close rate;
- the Homeowner was out of budget;
- the Homeowner was unreachable after the initial connection; or
- the job was completed already or no longer needed (unless verifiably erroneous at submission).
10) Live Transfer Leads; Call Recording; Compliance
10.1 Live transfers
For live transfer Leads, you are responsible for maintaining an active, answerable line and staffing to receive calls. Routing may be affected by availability and capacity.
10.2 Call recording and monitoring
You acknowledge and agree that LeadHelpline may monitor and record calls (including live transfers) for quality assurance, training, dispute resolution, fraud prevention, and compliance purposes, where permitted by law.
You are solely responsible for complying with applicable laws regarding call recording, disclosures, and consent in your jurisdiction and the Homeowner's jurisdiction.
10.3 Communications and TCPA/telemarketing
If you call or text any Lead, you are solely responsible for compliance with all applicable laws and regulations (including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state telemarketing laws, Do-Not-Call rules, and licensing/advertising rules). You agree not to use the Services for unlawful robocalling, spam, harassment, or misleading outreach.
11) Contractor Conduct and Restrictions
Contractors agree they will not:
- resell, sublicense, distribute, or publicly post Lead information;
- use Lead data for purposes unrelated to responding to the Homeowner's request;
- contact Leads with false, deceptive, or misleading claims;
- scrape, reverse engineer, probe, or interfere with the Services;
- impersonate any person/entity or misrepresent licensing, insurance, reviews, or affiliations; or
- violate any law or third-party rights.
We may suspend or terminate accounts for suspected violations.
12) Homeowner Conduct
Homeowners agree they will not:
- submit fraudulent requests;
- harass Contractors;
- provide false contact information; or
- use the Services for unlawful purposes.
13) Intellectual Property
LeadHelpline and its licensors retain all rights in the Services, including software, website content, trademarks, and branding. Except for the limited right to use the Services under these Terms, no rights are granted.
14) User Content and Feedback
If you submit content through the Services (including profile info, reviews, feedback, or support messages), you grant LeadHelpline a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and display that content as needed to operate and improve the Services.
Feedback may be used without restriction or compensation.
15) Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. If there is a conflict between the Privacy Policy and these Terms regarding personal data, the Privacy Policy governs.
16) Third-Party Services
The Services may integrate with or link to third-party services (including payment processors, call platforms, analytics, and communications providers). We are not responsible for third-party services, and your use of them may be governed by their terms.
17) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
- WE DO NOT WARRANT THAT LEADS WILL RESULT IN HIRES, THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY LEAD INFORMATION IS COMPLETE OR ACCURATE.
18) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- LEADHELPLINE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION.
- IN NO EVENT WILL LEADHELPLINE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNTS YOU PAID TO LEADHELPLINE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU ARE A HOMEOWNER WHO PAID NOTHING, $100).
Some jurisdictions do not allow certain limitations; in that case, limitations apply to the fullest extent permitted.
19) Indemnification
You agree to defend, indemnify, and hold harmless LeadHelpline and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- your use of the Services;
- your communications with or services provided to Homeowners;
- your violation of these Terms or applicable law; or
- your infringement of any rights of another.
20) Suspension and Termination
We may suspend or terminate your access to the Services at any time for any reason, including suspected fraud, nonpayment, risk, or violations of these Terms.
You may stop using the Services at any time. Termination does not relieve you of obligations to pay amounts accrued before termination.
Sections that by their nature should survive (including payment obligations, disclaimers, limitation of liability, indemnity, and dispute provisions) will survive.
21) Changes to the Services or Terms
We may modify the Services and these Terms from time to time. Updated Terms will be posted with a new effective date. Your continued use after the effective date constitutes acceptance of the updated Terms.
22) Dispute Resolution; Arbitration; Class Action Waiver
Please read carefully—this affects your legal rights.
22.1 Informal resolution
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally.
22.2 Binding arbitration
Except for small claims court matters and requests for injunctive relief to protect intellectual property, you and LeadHelpline agree to resolve disputes through binding arbitration rather than in court, to the extent permitted by law.
22.3 Class action waiver
You and LeadHelpline agree that each may bring claims only on an individual basis and not as a plaintiff or class member in any class or representative action.
If arbitration/class waiver is unenforceable in your jurisdiction, disputes will be resolved in court as described in Section 23.
23) Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. If a dispute is permitted to proceed in court (rather than arbitration), you agree to exclusive jurisdiction and venue in state or federal courts located in San Francisco County, California.
24) Miscellaneous
- Entire Agreement: These Terms (and any incorporated policies) constitute the entire agreement regarding the Services, unless you have a separate written agreement signed by LeadHelpline.
- Severability: If any provision is unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Electronic Communications: You consent to receive communications electronically and agree that electronic agreements and notices satisfy legal requirements.
